  2. If the end goal of starting the business is to become a publicly-traded company, an LLC may not be the best path to take for that purpose.
  3. Many states charge a franchise tax of sorts on the opening of an LLC. This can be considered as a sort of payment in return for the liability benefits provided to LLCs
